Energia Naturalis increased their share in Luka Ploče d.d.

On 10 July 2019, Energia Naturalis announced a takeover bid concerning the Port of Ploče, offering 412 kuna per share until 7 August 2019. The offer was accepted by 119 shareholders, who sold a total of 43,947 shares or 10.39 percent of shares in the Port of Ploče to Energia Naturalis.

Before the takeover ENNA held 108,362 shares or 25.62 percent of share capital in the Port of Ploče. Today the company holds 152,309 shares or 36.01 percent of the Port of Ploče share capital.

When Energia Naturalis crossed the control threshold of 25 percent of shares in the Port of Ploče capital on 16th January, the company was required under the law to offer a mandatory takeover bid pursuant to the Act on the Takeover of Joint-Stock Companies.

As the largest individual shareholder in the Port of Ploče with 24.95 percent of shares, by acquiring 0.67 percent of shares, ENNA crossed the control threshold of 25 percent shares.

With the acquisition of 2,848 shares, together with the shares the company had owned before (105,514 shares), ENNA holds a total of 108,362 shares or 25.62 percent of all voting shares in the Luka Ploče d.d. joint-stock company.

ENNA became part of the ownership structure in Luka Ploče d.d. through its PPD company, which had been the largest individual shareholder in the Port of Ploče since October 2014. The acquisition of shares was affected by open bidding at the Zagreb Exchange Market. Out of the 25 percent share, 15 percent of the shares have been acquired from the government, and the remaining 10 percent from other shareholders.
